1. AGREEMENT TO TERMS

PLEASE READ THESE TERMS OF USE CAREFULLY. BY ACCESSING OR USING THIS WEBSITE OR ANY OTHER WEBSITES AND/OR DIGITAL PROPERTIES OF prioriTIX, INC. ("COMPANY"), ITS AFFILIATES, OR AGENTS (COLLECTIVELY, THE "DIGITAL PROPERTIES"), INCLUDING USING THE SERVICES AND RESOURCES AVAILABLE OR ENABLED VIA THE DIGITAL PROPERTIES (EACH A "SERVICE" AND COLLECTIVELY, THE "SERVICES"), CLICKING ON THE "I ACCEPT" BUTTON, COMPLETING THE REGISTRATION PROCESS, BROWSING THE DIGITAL PROPERTIES, OR DOWNLOADING COMPANY’S MOBILE APPLICATION (THE "APPLICATION"), YOU REPRESENT THAT (1) YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE TERMS, (2) YOU ARE OF LEGAL AGE TO FORM A BINDING CONTRACT WITH COMPANY, AND (3) YOU HAVE THE AUTHORITY TO ENTER INTO THESE TERMS PERSONALLY OR ON BEHALF OF A LEGAL ENTITY.

IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICES.

1.1 Changes to Terms

prioriTIX reserves the right to modify these Terms at any time at its sole discretion. Any changes will be effective immediately upon posting to the Digital Properties. Your continued use of the Services constitutes your acceptance of any changes.

2. USE OF SERVICES AND COMPANY PROPERTIES

2.1 License Grant

Subject to compliance with these Terms, prioriTIX grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Application and Services for personal or internal business purposes only.

2.2 Restrictions

You agree not to:

• Modify, copy, distribute, or commercially exploit any part of the Company Properties.

• Reverse engineer, disassemble, or otherwise attempt to derive source code from the Application or Services.

• Use any automated system to access Company Properties.

• Violate any applicable laws in connection with the Services.

3. REGISTRATION AND ACCOUNT MANAGEMENT

3.1 Account Registration

To access certain features of prioriTIX, you must create an account. You agree to provide accurate, current, and complete information when registering and to keep this information updated.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for any activity occurring under your account. prioriTIX is not liable for unauthorized access to your account.

4. TRANSACTIONS AND PAYMENTS

4.1 Ticket Purchases

All ticket purchases are final and non-refundable unless explicitly stated otherwise. Prices are subject to change at any time.

4.2 Cancellations and Rescheduling

If an event is canceled or rescheduled, prioriTIX will provide information on refund or exchange options, if available. Refunds will only be issued to the original payment method.

5. THIRD-PARTY SERVICES

The Services may contain links to third-party websites, content, or services. prioriTIX does not endorse or assume responsibility for third-party services and is not liable for any damages resulting from your use of such services.

6. USER CONDUCT

You agree not to:

• Use the Services for unlawful purposes.

• Impersonate any person or entity.

• Upload or distribute any malicious software.

• Violate intellectual property rights of the Company or third parties.

7. DISPUTE RESOLUTION

7.1 Binding Arbitration

Any dispute arising under these Terms shall be resolved through binding arbitration conducted by the American Arbitration Association ("AAA").

7.2 Class Action Waiver

You and prioriTIX agree that any claims must be brought individually, and not as part of a class action.

8. LIMITATION OF LIABILITY

To the fullest extent permitted by law, prioriTIX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

9. INDEMNIFICATION

You agree to indemnify and hold harmless prioriTIX, its affiliates, employees, and agents from any claims, damages, or expenses arising from your violation of these Terms.

10. TRADEMARKS

All trademarks, service marks, and trade names of prioriTIX used within the Services are the property of prioriTIX or its licensors. You agree not to use any of prioriTIX’s trademarks without prior written permission. Unauthorized use of any trademarks is strictly prohibited and may result in legal action.

11. PROMOTIONAL ACTIVITIES

prioriTIX may offer promotions, contests, or special offers from time to time. Participation in such promotions is subject to additional terms and conditions. prioriTIX reserves the right to modify, suspend, or cancel any promotional activity at its sole discretion.

12. WARRANTIES AND CONDITIONS

prioriTIX provides the Services "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. prioriTIX does not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components.

13. GENERAL PROVISIONS

• Governing Law: These Terms shall be governed by the laws of the State of New York.

• Severability: If any provision is deemed invalid, the remaining provisions shall remain in effect.

• Entire Agreement: These Terms constitute the entire agreement between you and prioriTIX regarding the Services.
